These Terms of Service ("Terms") govern your access to and use of TraxSail AI (the "Service"), operated by Charles Carter, a sole proprietor based in Texas ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
TraxSail AI is a software service that helps small distributors manage purchase order follow-up with their suppliers. This includes: importing and parsing purchase order files, sending automated follow-up emails to suppliers on your behalf, reading and classifying supplier email replies, tracking shipments via connected carrier accounts (e.g. UPS, FedEx), syncing inventory and order data from connected sales channels (e.g. Shopify, Amazon Seller Central), and surfacing insights about your suppliers and purchase orders through an AI-driven dashboard and concierge assistant. AR Follow-Up (automated payment follow-up emails to customers regarding outstanding invoices, with the same reply-reading automation applied to their responses) is included with every plan if you choose to use it. Depending on the data you've imported, the Service may also generate cash flow projections, reorder timing suggestions, and price-change alerts, all computed automatically from your own account data as described in Section 6 below.
You must provide accurate information when creating an account and keep your login credentials secure. You're responsible for all activity that happens under your account. Notify us promptly if you suspect unauthorized access.
By using the Service, you authorize TraxSail AI to send emails to your suppliers (and, if you use AR Follow-Up, your customers regarding outstanding invoices) using an address associated with your business, read and act on replies sent to that address, and connect to third-party services you configure (such as a UPS or FedEx account, or a Shopify or Amazon Seller Central account) to retrieve tracking, inventory, and order information. You represent that you have the right to communicate with the suppliers and customers, and to connect the carrier and sales channel accounts, you use through the Service.
The Service is offered on a subscription basis (Starter, Growth, or a custom Scale plan), billed monthly through our payment processor, Stripe. Plans are priced based on the number of suppliers you manage; exceeding your plan's supplier limit results in a per-supplier overage charge disclosed on our pricing page, billed automatically. Optional add-ons, such as AR Follow-Up, are billed as a separate flat monthly fee disclosed on our pricing page. You can cancel at any time; cancellation takes effect at the end of your current billing period, and we don't provide refunds for partial billing periods except where required by law.
New accounts may start with a free trial subject to usage limits (such as a maximum number of purchase orders) disclosed at signup. We may modify or discontinue trial terms at any time without notice.
The Service uses artificial intelligence (including third-party AI models) to draft emails, classify supplier and customer replies, and generate insights. AI output can be wrong. You're responsible for reviewing AI-drafted communications and decisions before relying on them for anything business-critical. We don't guarantee the accuracy, completeness, or fitness of any AI-generated content.
Features such as the cash flow forecast, reorder timing suggestions, price-change alerts, and any other projection, prediction, or recommendation the Service generates are estimates based on the data in your account, not guarantees, and not financial, accounting, tax, legal, inventory, or business advice. These estimates depend entirely on the completeness and accuracy of the data you've imported: incomplete purchase order or invoice history, missing supplier payment terms, or outdated data will produce inaccurate or misleading estimates. You're solely responsible for verifying any figure before making a financial, purchasing, or operational decision based on it, and for maintaining your own records of actual payables and receivables. We're not liable for any loss arising from a decision made in reliance on a forecast, projection, or suggestion generated by the Service.
You agree not to use the Service to send unlawful, deceptive, or abusive communications; to interfere with or disrupt the Service's operation; to attempt to access data or accounts you're not authorized to access; or to use the Service in a way that violates applicable law, including anti-spam laws (e.g. CAN-SPAM).
Our collection and use of your data, and any data about your suppliers or customers that passes through the Service, is described in our Privacy Policy, which is part of these Terms.
The Service relies on third-party providers, including Anthropic (AI processing), Resend (email delivery), Stripe (payments), and carrier APIs such as UPS and FedEx (shipment tracking). We're not responsible for outages, errors, or data handling by these third parties, though we select providers we believe are reputable and secure.
We aim for reliable uptime but don't guarantee the Service will be uninterrupted, error-free, or available at all times. We may perform maintenance, and features may change, be added, or be removed over time.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAXSAIL AI AND CHARLES CARTER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE.
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service. You may stop using the Service and cancel your subscription at any time.
We may update these Terms from time to time. We'll update the "Last updated" date above when we do. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
